It starts with a letter from the Australian Taxation Office (ATO). It’s not your usual BAS reminder or notice of assessment. The header reads Director Penalty Notice (DPN), and suddenly, the tax debt that you thought belonged to your company is now looking for a new home: your personal bank account.

If you have received one of these notices, or if you are worried your company is falling behind on tax, your first reaction might be panic. That is understandable. A DPN pierces the “corporate veil,” making directors personally liable for their company’s unpaid PAYG withholding, GST, and Superannuation Guarantee Charge (SGC).

But here is the good news: You have options, provided you act immediately.

1. The Clock is Ticking (Literally)

The most critical factor with a Director Penalty Notice is time. The moment that letter is given, a countdown begins. Ignoring it will not make it go away; it will only “lock down” the debt against you personally.

There are generally two types of DPNs, and knowing which one you have is vital:

The “Non-Lockdown” DPN (The 21-Day Notice)

If your company lodged its BAS and Super statements on time (or within 3 months of the due date) but failed to pay, the ATO will usually issue a non-lockdown DPN.

The good news: You have 21 days to “remit” (cancel) your personal liability. You can do this by:

  • Paying the debt in full
  • Appointing a voluntary administrator
  • Appointing a small business restructuring practitioner

The “Lockdown” DPN

If your company failed to lodge its returns on time (generally more than 3 months late), the penalty is automatically “locked down.”

The bad news: Placing the company into administration or liquidation will not remove your personal liability. The only way to extinguish this penalty is usually to pay the debt in full, subject to very limited exceptions.
